Terms of Service
These Terms of Service ("Terms") are a legally binding agreement between you and In Flow LLC, a California limited liability company and operator of CardPlan ("CardPlan," "we," "us," or "our"). These Terms govern your access to and use of the CardPlan website, applications, account features, connected-account features, subscriptions, reports, calculators, embedded tools, communications, and related services (collectively, the "Service").
Important notice
Please read these Terms carefully. Section 23 contains an agreement to resolve most disputes through individual binding arbitration and includes a class-action waiver. You may opt out as described in Section 23.
By creating an account, purchasing a subscription or other paid service, clicking a button indicating acceptance, or otherwise agreeing to these Terms, you agree to be bound by them. If you do not agree, do not use the Service.
1. Eligibility
The Service is intended for individuals who are at least 18 years old, are located in the United States, have legal capacity to enter into a binding agreement, and use the Service for lawful personal purposes. If you use an approved CardPlan embedded tool on behalf of an organization, you represent that you have authority to bind that organization to the provisions applicable to embedded tools and business use.
2. What CardPlan Does
CardPlan is a self-directed financial-management, calculation, and educational planning tool. Depending on the features available to you, CardPlan may allow you to enter or connect information about eligible credit accounts; review balances, limits, dates, utilization, and related information; compare payment amounts and timing scenarios; model possible utilization outcomes; save plans or scenarios; receive reminders; review changes; use AI-supported explanations; and use other features introduced from time to time.
Features differ between free and paid plans and may change over time.
3. CardPlan Is a Planning Tool — Not a Guarantee of Credit Outcomes
CardPlan provides calculations and educational planning tools. CardPlan does not calculate, generate, obtain, or guarantee your credit score.
CardPlan does not guarantee that use of the Service or any scenario will raise or maintain a credit score; improve a credit report, history, or rating; cause a particular balance to be reported on a particular date; result in approval for credit, housing, insurance, or another product or service; improve approval odds; produce a particular interest rate, credit limit, payment, or lending term; or produce any other particular financial or credit outcome.
Credit scoring models, lenders, issuers, financial institutions, consumer reporting agencies, landlords, insurers, and other third parties use information and methods CardPlan does not control. Utilization is only one factor that may be considered by some scoring models and decision makers.
No score, reporting, approval, interest-rate, financing, or lender outcome is guaranteed.
4. CardPlan Does Not Provide Professional Advice
CardPlan does not provide individualized legal, tax, accounting, investment, lending, underwriting, or other licensed professional advice and does not act as your financial adviser, attorney, accountant, lender, creditor, fiduciary, or agent. You remain responsible for deciding whether and how to act.
Nothing in the Service should be understood as a direction to incur debt, make a purchase, apply for credit, miss a payment, defer an obligation, or take another financial action.
5. Credit-Dispute and Debt-Settlement Activities
The current Service is not designed to dispute information with consumer reporting agencies, creditors, or data furnishers on your behalf; remove accurate negative information; create a new credit identity; negotiate or settle debts with creditors; promise deletion of information from a credit report; obtain an extension of credit for you; communicate with a lender or creditor as your representative; or guarantee improvement of a credit record, history, rating, or score.
Nothing in these Terms waives any rights or protections you may have under federal or state consumer-protection law. If applicable law gives you a cancellation, refund, disclosure, contract, or other right that cannot legally be waived, that law controls over any conflicting provision of these Terms.
6. Your Financial Decisions and Responsibilities
You remain responsible for your accounts, payments, financial obligations, and decisions. You are responsible for paying at least the minimum amount required by each issuer when due; independently confirming balances, limits, due dates, statement dates, interest rates, promotional terms, and payment status; confirming payments have posted; determining whether you can afford a payment; maintaining funds for other obligations; considering interest expense and cash flow; reviewing your credit agreements; and deciding whether to act on a scenario.
A payment budget entered into CardPlan is treated as a constraint supplied by you. It does not mean CardPlan has determined that amount is affordable or financially appropriate. A utilization-focused scenario may differ from an interest-minimizing, cash-preserving, debt-payoff, or other strategy.
7. Information, Estimates, and Data Accuracy
CardPlan depends on information supplied by you and, where available, third-party providers. Information may be incomplete, delayed, stale, estimated, unavailable, incorrectly categorized, affected by pending activity, or different from information ultimately used by an issuer, consumer reporting agency, lender, or other third party.
A current balance shown by CardPlan is not necessarily the balance currently appearing on your credit report. A statement closing date, reporting window, or similar date identified as estimated is only an estimate. A scenario may become inaccurate when balances, limits, purchases, payments, dates, APRs, promotional terms, connected data, or other inputs change.
Refresh and verify important information before acting.
8. Accounts and Account Security
Certain features require a CardPlan account. You agree to provide accurate information and maintain control of the email account or other authentication method associated with your account. You may not share authentication codes or secure access links with unauthorized persons, access another user's account, impersonate another person, create accounts through fraudulent or automated means, or use another person's financial information without authorization.
Notify CardPlan promptly if you believe your account has been compromised. We may require additional verification before permitting sensitive actions.
9. Connected Financial Accounts
CardPlan may allow you to connect eligible financial accounts through a third-party financial connectivity provider. Connecting an account is optional unless a feature expressly requires it.
By connecting an account, you authorize CardPlan and the applicable provider to access and process the information you authorize for the purpose of providing the requested CardPlan features. CardPlan does not receive financial-institution passwords that you enter directly into a provider-controlled authentication interface.
Third-party providers and financial institutions operate under their own terms and privacy practices. CardPlan does not control or guarantee institution availability, provider uptime, account eligibility, data completeness, refresh frequency, connection continuity, or the accuracy or timeliness of third-party data. A connection may stop working or require reauthorization.
10. AI and Automated Features
Some CardPlan features may use artificial intelligence, machine learning, rules-based automation, or other automated systems to explain, organize, summarize, or present information. AI-generated text may be inaccurate, incomplete, or misleading and is not a substitute for reviewing the underlying information and calculations.
Where an AI explanation conflicts with verified account information or the underlying CardPlan calculation, rely on the verified information and underlying calculation rather than the AI wording and report the inconsistency to CardPlan.
11. Free and Paid Services
CardPlan may offer free features, paid subscriptions, promotional plans, one-time purchases, beta features, or other products. The features, price, billing cadence, and other material terms applicable to a purchase will be displayed before you complete the transaction. Checkout-specific terms are incorporated into these Terms and control for the price, billing period, or purchased feature if they conflict with these Terms.
12. Subscriptions and Automatic Renewal
If you purchase a recurring subscription, your subscription automatically renews until you cancel it, unless checkout expressly states otherwise. Before purchase, CardPlan will display the applicable subscription price, billing frequency, renewal terms, material promotional or trial terms, and available cancellation method.
By affirmatively purchasing a recurring subscription, you authorize CardPlan and its payment processor to charge the payment method associated with your account at the disclosed frequency until the subscription is canceled.
Monthly subscriptions
A monthly subscription generally renews each month until canceled.
Annual subscriptions
An annual subscription generally renews each year until canceled. CardPlan will provide renewal or reminder notices when required by applicable law.
Cancellation
If you purchased a subscription online, CardPlan will provide an online method to cancel. You may generally manage or cancel your subscription through your CardPlan account or billing-management interface.
Unless otherwise stated when you cancel, cancellation stops future automatic renewals, you retain paid subscription access through the end of the current paid billing period, and your subscription does not renew after that period.
Deleting the CardPlan application, closing a browser, disconnecting a financial account, or stopping use of the Service does not by itself cancel an active paid subscription. Use the designated cancellation mechanism.
Price changes
CardPlan may change subscription pricing prospectively. We will provide advance notice when required by applicable law. A price change will not retroactively alter charges already paid. If you do not agree with a future price, you may cancel before the new price becomes applicable.
13. Trials, Discounts, and Promotional Offers
CardPlan may offer free trials, introductory prices, creator promotions, coupons, discounts, or other promotional offers. Each offer is governed by the specific terms disclosed with it. If a trial or discounted period automatically converts to a paid subscription, CardPlan will disclose the promotional period, subsequent price, billing cadence, automatic-renewal terms, and cancellation method before enrollment.
14. Payments and Refunds
Payments are processed by a third-party payment processor. You authorize the processor to charge the payment method you provide for purchases you authorize. You are responsible for applicable taxes unless CardPlan is required to collect them.
Except where applicable law requires otherwise, CardPlan expressly states a different refund right at checkout, or CardPlan determines that a billing error, duplicate charge, or other circumstance warrants a refund, fees already charged are generally non-refundable. Cancellation ordinarily prevents future renewal charges but does not create a prorated refund for the remaining portion of an already-paid billing period.
Nothing in this section limits a refund, cancellation, rescission, or other right that applicable law does not permit you to waive.
15. Personal-Planning-Only Restriction
CardPlan outputs are intended for the account holder's personal planning use only. You may not use CardPlan or a CardPlan report to determine, recommend, score, rank, or assist in determining another person's eligibility for credit, a loan, housing, employment, insurance, a government benefit, or another product or service for which consumer eligibility is being determined.
You may not represent a CardPlan calculation or report as a consumer report, underwriting report, tenant-screening report, credit decision, or lender recommendation.
16. Embedded Calculators and Tools
CardPlan may make certain public calculators or tools available for embedding on approved third-party websites. If CardPlan provides you with embed code, CardPlan grants you a limited, revocable, non-exclusive, non-transferable license to display the authorized tool solely in the manner CardPlan permits.
Unless CardPlan expressly approves otherwise, you may not modify the tool's logic; alter or remove CardPlan branding, disclosures, or links; obscure the source of the tool; state or imply that you created the tool or that CardPlan endorses you; resell or sublicense access; intercept, scrape, capture, or attempt to obtain information a visitor submits inside a CardPlan-controlled embedded experience; use the tool for another person's eligibility decision; circumvent technical limits or access controls; or use automated traffic that materially burdens or abuses the Service.
CardPlan may modify, suspend, replace, rate-limit, or revoke access to an embedded tool. You remain responsible for your own website, disclosures, privacy practices, advertising, and legal compliance.
17. Third-Party Services, Links, and Offers
The Service may contain integrations, links, information, or offers involving third parties. Third-party products and services are governed by their own terms, privacy policies, underwriting criteria, eligibility requirements, and other rules. CardPlan does not control a third party's approval decisions, prices, rates, eligibility criteria, products, data accuracy, service availability, or conduct.
CardPlan may receive compensation from certain third-party relationships or referrals if disclosed where applicable. Compensation does not guarantee that a third-party product is appropriate for you.
18. Privacy
Our collection, use, disclosure, retention, and protection of personal information is described in the CardPlan Privacy Policy, which is incorporated by reference into these Terms.
Do not submit information CardPlan does not request, including full credit-card numbers, card security codes, bank passwords, Social Security numbers, or another person's private financial information without authorization.
19. License and Intellectual Property
Subject to these Terms, CardPlan grants you a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Service for its intended purpose. CardPlan and its licensors retain all rights in the Service, including software, designs, calculations, interfaces, text, graphics, trademarks, logos, reports, templates, documentation, and other content, except for information owned by you.
20. Feedback
If you voluntarily submit product ideas, suggestions, comments, or feedback, you grant CardPlan a worldwide, perpetual, irrevocable, royalty-free right to use, reproduce, modify, develop, commercialize, and otherwise use that feedback without compensation or obligation to you. This does not give CardPlan ownership of your private financial information.
21. Prohibited Conduct
You may not use the Service to violate law; access another person's account or information without authorization; misrepresent your identity or authority; upload malicious code; interfere with operation or security; bypass authentication, authorization, rate limits, or other controls; systematically extract nonpublic data; reverse engineer except where law expressly permits it; commercially exploit CardPlan software or proprietary content without permission; conduct fraudulent transactions; manipulate referral or affiliate attribution; create deceptive financial results; claim CardPlan guarantees a credit score, approval, rate, reporting outcome, or other result; use CardPlan for unauthorized eligibility decisions; obtain another consumer's information without authorization; submit false information to deceive a lender, creditor, consumer reporting agency, or another person; facilitate unlawful discrimination; or assist another person in violating these Terms.
22. Availability, Changes, and Beta Features
CardPlan is evolving. We may add, remove, change, suspend, or discontinue features, subject to applicable law and any specific paid commitment we have made to you. We do not guarantee every institution, account type, feature, integration, calculation, or provider will remain available.
The Service may experience interruptions caused by maintenance, technical failures, internet outages, third-party providers, financial institutions, payment processors, security events, changes in third-party APIs, events outside CardPlan's reasonable control, or other operational circumstances. Features labeled beta, preview, experimental, early access, or similar may be incomplete and may change or be discontinued.
Do not rely on CardPlan as the sole record of a deadline, payment obligation, balance, or financial account.
23. Dispute Resolution and Arbitration
Please read this section carefully. It affects how disputes between you and CardPlan may be resolved.
A. Informal resolution first
Before filing arbitration or litigation, you and CardPlan agree to attempt to resolve the dispute informally. The party raising the dispute must provide written notice describing the name and account email of the person raising the claim, the nature of the dispute, relevant facts, the relief requested, and reasonable supporting information.
Notices to CardPlan may be sent to privacy@getcardplan.com with the subject Legal Dispute Notice. The parties will attempt in good faith to resolve the matter for at least 30 days after receipt of a complete notice before beginning arbitration, except where immediate relief is legally necessary.
B. Agreement to individual arbitration
Except for disputes excluded below, you and CardPlan agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Service, a purchase or subscription, advertising or communications, your relationship with CardPlan, or the interpretation, breach, termination, or enforceability of these Terms will be resolved through binding individual arbitration, rather than a lawsuit before a judge or jury.
The Federal Arbitration Act governs this arbitration provision. Arbitration will be administered by the American Arbitration Association ("AAA") under its applicable Consumer Arbitration Rules, as modified by these Terms. If AAA is unavailable or unwilling to administer the proceeding, the parties will attempt to agree on a substitute provider. If they cannot agree, a court with jurisdiction may appoint one.
C. Small claims
Either party may bring an individual claim in an appropriate small claims court if the claim qualifies and remains in that court.
D. Class-action waiver
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND CARDPLAN AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLASS MEMBER, OR REPRESENTATIVE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION.
An arbitrator may award relief only to the individual party seeking relief and only to the extent necessary to resolve that individual's claim, except where applicable law requires otherwise.
E. Rights that cannot be waived
Nothing in these Terms is intended to waive a statutory right that cannot lawfully be waived; the right to seek public injunctive relief where applicable law prohibits waiver; the right to file a complaint with a government agency; the right of a government agency to investigate or bring an enforcement action; or another remedy applicable law prohibits CardPlan from restricting.
F. Arbitration procedures and jury-trial waiver
Arbitration may take place by video conference, telephone, documents-only proceeding, or in person as permitted under applicable rules and law. The arbitrator may award any individualized remedy available under applicable law that has not validly been limited by these Terms. Arbitration fees will be allocated under applicable AAA rules and governing law, and CardPlan will pay fees it is legally required to pay.
For disputes required to be arbitrated, you and CardPlan waive the right to have the dispute decided by a jury. For disputes that may lawfully proceed in court, any jury-trial waiver applies only to the extent enforceable under applicable law.
G. Arbitration opt-out
You may opt out of this arbitration agreement by notifying CardPlan within 30 days after the first date you accept these Terms. Your notice must state that you are opting out of the arbitration provision in the CardPlan Terms of Service, provide your full name and the email address associated with your CardPlan account, and be sent to privacy@getcardplan.com with the subject Arbitration Opt Out.
Opting out does not affect the rest of these Terms or your ability to use CardPlan.
H. Severability of arbitration provisions
If a portion of this arbitration section is held unenforceable, the remainder will continue to apply to the fullest extent permitted by law. If applicable law requires a particular claim or remedy to proceed in court rather than arbitration, that claim or remedy may proceed in court while arbitrable claims remain subject to arbitration to the extent permitted by law.
24. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” CARDPLAN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE EXTENT THOSE WARRANTIES MAY LAWFULLY BE DISCLAIMED.
Without limiting the foregoing, CardPlan does not warrant that the Service will always be available; data will always be current, complete, or accurate; an estimated date will be correct; a third-party connection will remain available; a payment will post on a particular date; an issuer will report a particular balance; a credit score will change; a particular utilization level will produce a particular result; a lender or other third party will make a particular decision; or the Service will be error-free.
25. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, CARDPLAN AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THE SERVICE, INCLUDING LOST PROFITS, LOST OPPORTUNITY, LOST SAVINGS, LOST FINANCING, LOSS OF DATA, OR BUSINESS INTERRUPTION.
TO THE FULLEST EXTENT PERMITTED BY LAW, CARDPLAN'S AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (1) THE AMOUNT YOU PAID DIRECTLY TO CARDPLAN FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (2) $100.
These limitations do not apply to liability that applicable law prohibits us from limiting, and nothing in these Terms limits statutory damages, consumer remedies, or other rights that cannot lawfully be waived.
26. Indemnification for Misuse
To the extent permitted by applicable law, if your unauthorized or unlawful use of CardPlan causes a third party to bring a claim against CardPlan, you agree to defend, indemnify, and hold CardPlan harmless from reasonable losses, liabilities, damages, judgments, and costs resulting from that claim. This applies to claims arising from unlawful use, infringement of another person's rights, unauthorized use of another person's financial information, operation of an embedded CardPlan tool in violation of Section 16, fraud or intentional misuse, or a material violation of these Terms. This section does not require a consumer to indemnify CardPlan for CardPlan's own unlawful conduct.
27. Suspension and Termination
You may stop using CardPlan at any time. You may close your account using available account controls or other methods CardPlan provides. Account deletion and subscription cancellation are separate actions unless CardPlan expressly states otherwise.
CardPlan may suspend or terminate access where reasonably necessary because of violation of these Terms, fraud, abuse, security threats, unauthorized access, nonpayment, legal requirements, substantial risk to CardPlan or other users, or discontinuation of the Service. Where reasonable and legally required, we will provide notice.
Sections that by their nature should survive termination—including intellectual property, payment obligations already incurred, disclaimers, limitations of liability, dispute resolution, and accrued rights—will survive.
28. Electronic Communications
You consent to receive electronically account notices, authentication communications, transaction receipts, subscription notices, security alerts, legal notices, service announcements, and other communications relating to your use of CardPlan. You are responsible for keeping your account email address current.
Marketing communications are subject to applicable law and available unsubscribe preferences. Unsubscribing from marketing does not prevent CardPlan from sending necessary transactional, security, legal, or account communications.
29. Changes to These Terms
CardPlan may update these Terms as the Service, business, or applicable law changes. We will post the updated Terms and update the effective or last-updated date. For material changes affecting existing users, we will provide additional notice when required by law.
If a change materially affects a paid subscription, renewal, price, dispute-resolution right, or another matter for which applicable law requires special notice or consent, CardPlan will follow those requirements. Continued use after an update becomes effective constitutes acceptance only to the extent permitted by applicable law.
30. Governing Law
Except to the extent federal law or another law requires otherwise, these Terms and disputes not subject to arbitration are governed by the laws of the State of California, without regard to conflict-of-laws principles.
Subject to Section 23, any court proceeding between you and CardPlan will be brought in an appropriate state or federal court in California unless applicable law gives you the right to bring the proceeding elsewhere. Nothing in this section deprives a consumer of mandatory protections provided by the law of the consumer's state of residence where those protections cannot legally be waived.
31. Assignment
You may not assign or transfer these Terms or your CardPlan account without our consent. CardPlan may assign these Terms in connection with a merger, acquisition, financing, corporate reorganization, change in operating entity, or sale of all or substantially all of the relevant business or assets, subject to applicable law.
32. No Waiver
If CardPlan does not enforce a provision of these Terms on one occasion, that does not waive our right to enforce it later. A waiver is effective only if made expressly by a party authorized to grant it.
33. Severability
Except as specifically provided in the arbitration section, if a provision of these Terms is held invalid or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect.
34. Entire Agreement
These Terms, the CardPlan Privacy Policy, checkout-specific terms, and any other terms expressly incorporated by reference constitute the agreement between you and CardPlan concerning the Service. They supersede prior or contemporaneous agreements concerning the same subject matter, except for a separate written agreement signed by CardPlan that expressly states it controls.
35. No Third-Party Beneficiaries
Except where expressly stated otherwise, these Terms do not create enforceable rights for any person or entity other than you and CardPlan.
